Article 1 — Definitions
For the purposes of these Terms and Conditions, the following terms shall have the following meanings:
- Vince People: Vince People B.V., located in Eindhoven, registered with the Chamber of Commerce under number 83798072.
- Platform: Vince People’s online environment, accessible via dashboard.vince.nl, including the website (www.vince.nl), the mobile app, all applications, APIs, and services.
- App: Vince People's mobile app for iOS and Android.
- User: any natural person or legal entity that registers on or uses the Platform, including Healthcare Professionals, Healthcare Institutions, and Individuals.
- Healthcare professional: a self-employed healthcare professional who uses the Platform to secure assignments, manage contracts, and/or issue invoices.
- Healthcare organization: a legal entity that uses the Platform to find healthcare professionals, enter into contracts, and/or manage hours and billing.
- Individual: a natural person who uses the Platform to find healthcare professionals for personal care services, whether or not using a personal care budget (PGB).
- Vince Verified: the quality certification that verifies and continuously monitors the identity, qualifications, registrations, and insurance coverage of healthcare professionals.
- Escrow account: the account managed by GoCredible B.V. in collaboration with Rabobank through which payments between Clients and Healthcare Professionals are processed.
- Service Agreement: the agreement entered into via the Platform between a Healthcare Professional and a Client, to which Vince People is not a party.
- Platform Fee: the fee that Users owe Vince People for using the Platform.
- User Agreement: the agreement between Vince People and the individual User that sets forth the specific services, fee structure, and terms and conditions.
Article 2 — Applicability
2.1. These Terms and Conditions apply to all services offered by Vince People via the Platform, the website, and the App, as well as to all agreements between Vince People and Users.
2.2. Any deviations are valid only if agreed upon in writing.
2.3. The applicability of any general terms and conditions of the User is expressly rejected.
Article 3 — Nature of the Services
3.1. Vince People is an infrastructure provider. Vince People is not a staffing agency, a temporary employment agency, a recruitment agency, or an employer. Vince People provides a platform where healthcare professionals, healthcare institutions, and private individuals can enter into contracts with one another independently.
3.2. Not a Party to Service Agreements. Vince People is not a party to the Service Agreements entered into via the Platform. Vince People is designated therein as a facilitating platform, but has no rights or obligations under these agreements.
3.3. No employment relationship. There is no employment contract, temporary employment contract, or any other employment relationship between Vince People and the Platform Users.
3.4. Invoicing on Behalf of the Healthcare Professional. Vince People generates invoices on behalf of the Healthcare Professional based on time sheets approved by the Client, pursuant to a power of attorney granted by the Healthcare Professional. The invoice is issued in the name of and with the VAT number of the Healthcare Professional, who remains fiscally responsible.
3.5. Vince People offers the following services, among others: contract templates and contract generation, digital signing (via DocuSign), the Vince Verified quality seal, time tracking and approval, invoicing and payment processing via the escrow account, compliance monitoring and reporting, contract management and archiving, and optional factoring through external partners.
Article 4 — Account, Registration, and Use of the App
4.1. To use the Platform, the User must register and create an account. The User warrants that the information provided is accurate.
4.2. The User is responsible for keeping their login credentials confidential and for all activity that occurs through their account.
4.3. Vince People grants the User a non-exclusive, non-transferable right to use the App for its intended purpose. The terms and conditions of the relevant app store may also apply to the use of the App through app stores.
4.4. Prohibited Use. You may not use the Platform or the App for unlawful purposes, circumvent security measures, engage in automated data collection (scraping), disrupt the service, or infringe upon the rights of others.
4.5. The User must be at least 18 years of age and legally competent to enter into the User Agreement.
Article 5 — Registration and Vince Verified
5.1. Healthcare professionals who wish to enter into contracts through the Platform must obtain the Vince Verified certification. This requires verification of, among other things: Chamber of Commerce registration, BIG registration (if applicable), Certificate of Good Conduct (VOG), diplomas and certificates, and professional/general liability insurance.
5.2. Vince Verified is an ongoing verification process. Users are required to report any changes immediately and to renew their documents in a timely manner.
5.3. If critical documents (such as BIG registration or professional liability insurance) expire, Vince People may suspend the certification and halt time tracking and invoicing via the Platform. Clients with active contracts will be notified of this.
5.4. Vince People makes every effort to carefully verify documents, but does not guarantee the completeness or accuracy of the verification. Clients retain their own responsibility for assessing the suitability of a healthcare professional.
Article 6 — Escrow Account and Payment Transactions
6.1. Payments between Clients and Healthcare Professionals are processed through the Escrow Account, managed by GoCredible B.V. in collaboration with Rabobank.
6.2. Clients must pay the full invoice amount (including VAT) into the Escrow Account. Upon receipt, the amount is split: the Platform Fee is withheld on behalf of Vince People, and the remaining amount is paid to the Healthcare Professional.
6.3. The Healthcare Professional agrees to this split-payment arrangement and grants Vince People the right to withhold the Platform Fee from the payments received.
6.4. Vince People is not responsible for late payments by Clients. The credit risk lies with the Healthcare Professional, unless the optional factoring service is used.
Article 7 — Fees
7.1. Users are required to pay a Platform Fee for the use of the Platform, as set forth in the User Agreement. All amounts are exclusive of VAT, unless otherwise stated.
7.2. Vince People is entitled to adjust the fee structure annually, provided that at least two months’ notice is given prior to the effective date. If the User does not agree to the changes, they may terminate the agreement effective as of the date the changes take effect.
Article 8 — Intellectual Property
8.1. All intellectual property rights to the Platform, the App, the software, standard templates, and documentation are owned by Vince People.
8.2. Contract templates created by Users remain the property of the relevant User, provided that Vince People has a non-exclusive license to store and process them for the purpose of providing the service.
Article 9 — Privacy and Data Protection
9.1. Vince People processes personal data in accordance with the GDPR and the GDPR Implementation Act. The privacy statement forms an integral part of these terms and conditions.
9.2. Health data and Social Security Numbers are processed using enhanced security measures in accordance with NEN 7510.
9.3. Where Vince People processes personal data on behalf of a User, a data processing agreement in accordance with Article 28 of the GDPR applies.
Article 10 — Liability
10.1. Vince People is not liable for the content of Service Agreements, nor for the performance of work by Healthcare Professionals.
10.2. Vince People is not liable for any damages resulting from incorrect or incomplete information provided by Users.
10.3. Vince People’s total liability is limited to the amount of Platform Fees paid by the User in question during the 12 months prior to the event giving rise to the damage.
10.4. Vince People shall not be liable for indirect damages, consequential damages, lost profits, or loss of data, nor for the acts or omissions of GoCredible B.V., DocuSign, or other service providers engaged by Vince People.
Article 11 — Availability and Maintenance
11.1. Vince People aims to achieve an annual Platform uptime of 99.5%, excluding scheduled maintenance.
11.2. Vince People is not liable for any damages resulting from the (temporary) unavailability of the Platform or the App.
Article 12 — Termination
12.1. Users may cancel their account by providing one month's notice.
12.2. Vince People may suspend or terminate an account in the event of a violation of these terms and conditions, fraudulent behavior, revocation of the Vince Verified badge, non-payment of Platform Fees, or repeated complaints.
12.3. Upon termination, any Service Agreements already entered into and any outstanding payment obligations shall remain in full force and effect. Vince People will cooperate to ensure an orderly settlement.
Article 13 — Changes to the Terms and Conditions
13.1. Vince People may amend these terms and conditions. Any changes will be announced at least 30 days prior to their effective date. Continued use after the effective date constitutes acceptance.
Article 14 — Governing Law and Disputes
14.1. These Terms and Conditions are governed by Dutch law.
14.2. Disputes shall preferably be resolved through mutual consultation; if this is not possible, they shall be submitted to the competent court in Eindhoven.
